Terms of Service
By accessing and using the NetCostPulse platform (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service. NetCostPulse reserves the right to modify these terms at any time. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes. Any new features, functionality, or tools that may be added to the Service shall be subject to these Terms.
You agree to use the Service only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the Service. You may not sell, transfer, or assign your rights or obligations under this agreement to any third party without NetCostPulse's prior written consent. Prohibited behavior includes: (a) harassing or causing distress or inconvenience to any person; (b) transmitting obscene or offensive content; (c) disrupting the normal flow of dialogue within our website or platform; (d) attempting to gain unauthorized access to our systems; and (e) reverse engineering or attempting to extract the source code of our platform.
Your NetCostPulse subscription will be on a monthly or annual basis as selected at signup. You authorize NetCostPulse to charge your provided payment method for the applicable subscription fee. Fees are exclusive of applicable taxes. Subscription auto-renews unless cancelled at least 30 days before renewal. NetCostPulse may change pricing with 30 days' notice. Price changes take effect at your next renewal date. Refunds for partial months are not available. In the event of non-payment, NetCostPulse reserves the right to suspend or terminate your account.
NetCostPulse owns and retains all rights, title, and interest in and to the Service, including all intellectual property rights. The Service includes software, databases, analytics algorithms, and underlying infrastructure. You are granted a limited, non-exclusive, revocable license to use the Service solely for your internal business purposes. You may not reverse engineer, decompile, disassemble, or modify the Service. Your data and content remain your property, and you grant NetCostPulse a license to use such data solely to provide the Service and comply with legal obligations.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NETCOSTPULSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF NETCOSTPULSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL NETCOSTPULSE'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM OR $100, WHICHEVER IS GREATER.
NetCostPulse may terminate your account and access to the Service immediately and without notice if you breach these Terms or violate applicable laws. You may terminate your subscription at any time by providing written notice to [email protected]. Upon termination, your right to use the Service ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive, including limitations of liability, intellectual property provisions, and confidentiality obligations. We will delete your account data within 30 days of termination, except as required by law.
This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any legal action or proceeding relating to your access to, or use of, the Service shall be instituted in a state or federal court located in San Francisco, California. You consent to the exclusive jurisdiction and venue of these courts and waive any objection to an inconvenient forum.
